These Terms of Use ("Terms") govern your access to and use of the website located at www.gritscape.com and any related subdomains, platforms, tools, and services (collectively, the "Platform") provided by Gritscape ("Gritscape", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Platform.

1. Eligibility

By using the Platform, you represent that you are at least 18 years of age or the age of majority in your jurisdiction, and that you have the authority to enter into these Terms on your own behalf or on behalf of the entity you represent.

2. Purpose of the Platform

The Platform provides information about Gritscape's services and allows users to learn about our offerings, submit inquiries, participate in assessments and programs, and access content and resources. The Platform is not a marketplace, crowdfunding service, or public investment platform.

3. No Legal, Financial, or Investment Advice

While Gritscape may assist with startup structuring, documentation, and funding readiness, the Platform and any publicly available content are not intended as legal, financial, tax, or investment advice. You should obtain advice from qualified professionals who understand your specific circumstances before making legal, financial, or investment decisions.

4. Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Access or use the Platform in any way that violates applicable law or regulation
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to gain unauthorised access to any systems, accounts, or data
• Interfere with or disrupt the operation of the Platform
• Upload or transmit harmful code, spam, or objectionable content
• Reverse engineer or probe for vulnerabilities

5. Your Content & Intellectual Property

Ownership: You retain all right, title, and interest in your User Content (business plans, code, financial models, and Intellectual Property).

License to Gritscape: You grant Gritscape a non-exclusive, revocable, worldwide, royalty-free license to host, store, and reproduce your User Content solely as necessary to provide the specific services you request.

No AI Training Without Consent: Gritscape commits that we will not use your proprietary User Content to train any public-facing AI or Machine Learning models unless we obtain separate, explicit written consent from you.

6. Gritscape Intellectual Property

All content, design elements, trademarks, logos, and materials on the Platform (excluding your User Content) are owned by Gritscape or our licensors and are protected by applicable intellectual property laws. You may view and download content for your own internal, non-commercial use provided you do not remove proprietary notices or modify the content without our prior written consent.

7. Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind. To the fullest extent permitted by law, Gritscape disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, secure, or free from errors or harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, Gritscape will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities arising out of or in connection with your use of the Platform. Our aggregate liability for direct damages will be limited to the fees you have paid to us in the twelve (12) months preceding the claim, or a reasonable cap where no such fees exist.

9. Termination

We reserve the right to suspend or terminate your access to all or part of the Platform at our discretion, including where you violate these Terms, applicable law, or where your use poses a security, legal, or reputational risk. You may stop using the Platform at any time.

10. Governing Law

These Terms are governed by the laws of India. Disputes arising out of or in connection with these Terms or your use of the Platform will be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu, India.
